  6.     PALM SPRINGS, Calif., May 8 /PRNewswire/ -- Matsushita Electric Industrial Co., Ltd. (MBI) and Panasonic Software Company (PSW) and Williams Entertainment, subsidiary of arcade game giant WMS Industries Inc., have signed a letter of intent to enter into a long-term agreement that will give MEI and PSW a right of first refusal for exclusive worldwide distribution rights for the 3DO(TM) Interactive Multiplayer(TM) system versions of certain Williams games.

  8.     Included among the Williams games scheduled to be produced for 3DO under the agreement is the highly anticipated Mortal Kombat(R) III.  The titles will be published, sold and distributed through worldwide distribution channels under the Panasonic brand name.

  10.     "We look forward to a long and successful relationship with Williams Entertainment," says PSW Vice President Bill Gardner.  "With this agreement, Panasonic Software Company is acquiring the rights to some of the most popular video games of all time."

  12.     "The 3DO Interactive Multiplayer system is capable of reproducing Williams' games with full arcade realism," says Justin Heber, vice president of Williams Entertainment.  "We are excited to be affiliated with a publishing company that also has the marketing savvy and distribution channels of Panasonic."

  14.     Under the agreement, Panasonic will be entitled to publish and distribute the 3DO versions of many current and future titles Williams produces, as well as selected past titles.  Some of the first titles under the deal are expected to be released prior to Christmas, 1995.  A previous PSW title, fun 'n games(TM), developed by Williams.

  16.     WMS Industries is a world leader in coin-operated entertainment machines, and the world's largest producer of pinball machines. Its games are marketed under the Williams, Midway and Bally trademarks. Other games created by Williams include Mortal Kombat I and II, and NBA Jam(TM) Tournament Edition.  The company is headquartered in Chicago.

  18.     Matsushita Electric Industrial Co., Ltd. develops and distributes both hardware and software for the REAL(TM) 3DO Interactive Multiplayer system worldwide.  Its headquarters are Osaka, Japan.

  20.     Panasonic Software Company markets and develops software primarily for use in the Panasonic REAL 3DO Interactive Multiplayer in the U.S. Its current titles include Super Street Fighter II Turbo(R), StarBlade, Myst(R), The Daedalus Encounter(TM) and True Golf Classics(R):  Pebble Beach Golf Links(R).  A division of Matsushita Electric Corporation of America (MECA), the company is based in Santa Clara, Calif.

  22.     The REAL 3DO Interactive Miiltiplayer is marketed in the U.S. by the Interactive Media Division of Matsushita Consumer Electronics Company (MCEC).  Also a division of MECA, MCEC markets products under the Panasonic, Technics and Quasar brand names.  Its headquarters are in Secaucus, N.J.
